Factoring in Delaware
Delaware is better known for incorporations than invoices, yet its operating economy produces plenty of receivables. The Bureau of Labor Statistics' Economy at a Glance table for September 2026 (preliminary) shows about 94,500 jobs in education and health services, 89,800 in trade, transportation and utilities, 66,300 in professional and business services and roughly 48,700 in financial activities. Manufacturing is smaller, at about 25,900.
The financial sector is unusually large for the state's size, which creates a market for IT contractors, compliance consultants, call-center staffing and facilities vendors who bill banks and card issuers on long terms. Those firms often factor to cover payroll while waiting on enterprise accounts payable cycles; see staffing factoring and IT services factoring.
Downstate, Sussex County is poultry country. Growers, feed suppliers, haulers and processing contractors work within a supply chain where the processor sets payment timing. Our agriculture factoring page explains how factors handle farm-product receivables.
The Port of Wilmington on the Delaware River moves imported cargo, and the state's Division of Small Business lists Foreign Trade Zone #99 among its programs. Importers, drayage carriers and cold-storage operators connected to that traffic are typical factoring candidates. Healthcare, the largest employment category, adds home health agencies and medical suppliers billing hospital systems.
UCC filings in Delaware
UCC filings go to the Delaware Department of State, Division of Corporations. Its Uniform Commercial Code page links to online filing, administrative rules, fees, forms and searches. Because so many companies are organized in Delaware, and Article 9 generally directs filings against a registered organization to its state of organization, many UCC filings land here even when the debtor operates elsewhere.
One detail stands out. Since December 1, 2015, the division has required all UCC filings to be submitted electronically. It no longer accepts paper filings by mail, courier or fax. Electronic filings can go through the state's e-UCC application or UCC XML submitters, and paper documents can be routed through an Authorized UCC Filer who submits them electronically.
That matters to factoring clients in two ways. First, if your company is a Delaware corporation or LLC, your factor's UCC-1 will be filed here even if you operate in Texas or Ohio. Second, your pre-signing lien search must also be run here, on your exact Delaware legal name. Look for any filing covering accounts or all assets and resolve it before funding.
Delaware law notes
Factoring is generally structured as a purchase of receivables rather than a loan: the factor buys invoices at a discount and collects from your customers. The contract's label is not conclusive, and recourse terms and risk allocation bear on how a court would view it.
Delaware's Article 9 is in Title 6, Chapter 9 of the Delaware Code. 6 Del. C. § 9-406 addresses discharge of the account debtor, notification of assignment, and restrictions on assignment. It provides that a term in an agreement between an account debtor and an assignor is ineffective to the extent it prohibits, restricts or requires the consent of the account debtor to the assignment of an account. That is the provision that generally lets you sell invoices even when a customer contract discourages assignment.
No Delaware-specific commercial financing disclosure statute covering factoring was identified as of November 2026.

Frequently asked questions
My company is a Delaware LLC but operates in another state. Where is the UCC filed?
For a registered organization such as a corporation or LLC, Article 9 generally points to the state of organization, so the financing statement is filed in Delaware. Your lien search should be run there too. Some factors also search the state where you operate to catch judgment or tax liens.
Can I file a UCC-1 on paper in Delaware?
Not directly. Since December 1, 2015, the Division of Corporations has accepted UCC filings only electronically, through its e-UCC application or XML submitters. Paper documents can be handled by an Authorized UCC Filer, who submits them electronically on your behalf.
Do Delaware poultry growers factor their receivables?
Some suppliers and service providers in the poultry chain do, particularly feed dealers, haulers and equipment contractors billing processors on net terms. Growers paid under integrator contracts have different arrangements. Ask the factor how it verifies delivery and handles disputes, and compare costs with the factoring calculator.
