Invoice Factoring in Michigan

Michigan's supplier base sells parts, tooling and engineering to automakers and tier-one suppliers on long terms. Here is how factoring fits that chain and what Michigan's filing office and statutes require.

Factoring in Michigan

The defining feature of Michigan's receivables is depth of supply chain. A Michigan Economic Development Corporation article from September 2025 reports that 26 vehicle manufacturers are located in the state, along with 96 of the top 100 automotive suppliers, 60 of which have their North American headquarters there. Beneath those names sit many smaller tier-two and tier-three shops: machining, stamping, tool and die, plating, plastics, wire harnesses, engineering services and contract logistics.

Each tier pays the one below it on terms set by the tier above, and that cascade is why factoring is so common here. A die shop may wait months for tooling payments tied to production approval, while a parts supplier deals with chargebacks, retro pricing and volume swings when a program is delayed or a model changes. Factoring approved production invoices gives those businesses working capital that grows with their shipments. See automotive factoring for how factors handle OEM portals, debit memos and tooling receivables.

The Bureau of Labor Statistics' Economy at a Glance shows how much of the state's work still happens on the factory floor. In September 2026 (preliminary), Michigan had 583,800 manufacturing jobs out of 4,487,400 nonfarm jobs, along with 799,400 in trade, transportation and utilities, 616,700 in professional and business services, 738,700 in education and health services and 200,200 in construction. The transportation and professional-services numbers include the trucking companies and engineering and staffing firms that feed the plants, all of which bill business customers on net terms.

UCC filings in Michigan

Michigan's financing statements are handled by the Michigan Department of State (Secretary of State). Its Uniform Commercial Code page explains that Article 9 designates the Secretary of State's office as the place for filing and searching secured-transaction records, and it links to the UCC online service and a free debtor-name quick search. The page lists a filing fee of $15 per UCC-1 or UCC-3 filing and a $6 search fee per debtor name for official UCC-11 searches, which it says must be performed through the online system.

A factor buying your invoices will file a UCC-1 describing the accounts so its purchase is a matter of public record. Article 9 covers outright sales of accounts, so without that filing the factor's ownership could lose out to a later lender or a bankruptcy trustee.

Use the free quick search first. A supplier with a bank revolver secured by receivables and inventory will almost certainly find that lender's filing. Knowing which filings exist lets you plan the payoff, release or intercreditor agreement a factor will require.

Michigan law notes

Factoring is generally a sale of receivables rather than a loan. Michigan's Article 9 appears in Chapter 440 of the Michigan Compiled Laws. MCL 440.9406 sets the notice-of-assignment rule, under which an account debtor must pay the assignee once notified, and subsection (4) makes contract terms ineffective to the extent they prohibit, restrict or require consent to an assignment of an account. That matters in a state where many purchase-order terms and supplier manuals contain anti-assignment language.

On rates, the criminal usury statute, MCL 438.41, applies to interest exceeding 25% simple interest per year on a loan when not otherwise authorized by law. MCL 438.61 lets banks, credit unions, insurers and certain related entities agree in writing to any rate with a business entity, while other lenders to business entities may agree in writing to any rate up to the criminal usury limit. Whether those rules reach a particular factoring agreement depends on whether it is a true sale or a loan, which turns on recourse and risk allocation. For commercial financing disclosures, no state-specific disclosure statute was identified as of November 2026.

This is general information, not legal advice.

Major metro areas

Metro Detroit, including Warren, Dearborn, Troy and Auburn Hills, holds vehicle headquarters, engineering centers and the densest cluster of suppliers, trucking firms and contract staffing agencies in the state.

Grand Rapids and western Michigan combine diverse manufacturing, healthcare and food production with a large distribution network.

Lansing pairs manufacturing with state government, while Flint and Saginaw retain parts production and the logistics businesses that serve it.

Kalamazoo and Battle Creek add manufacturing and distribution along Interstate 94.

Frequently asked questions

Can I factor invoices owed by an automaker or tier-one supplier?

Usually. MCL 440.9406 limits anti-assignment clauses, so most supplier terms do not prevent a sale of receivables. The bigger hurdles are practical: factors want to see portal access, clean shipping records and limited chargebacks, and some buyers require suppliers to notify them before redirecting payment. Factors with automotive experience usually know each buyer's process.

What does a Michigan UCC search cost?

The Department of State offers a free debtor-name quick search online. Its UCC page lists $6 per debtor name for an official search request, plus copy charges if you order filed documents. For most owners, the free search is enough to see whether any lender already claims your receivables.

Should a Michigan supplier factor or keep its bank line?

It depends on how your bank sizes the line and how fast your sales are growing. Factoring follows receivables, so availability rises with shipments, while a revolver may be capped by covenants. Our guide comparing factoring and a line of credit walks through the trade-offs.
