Invoice Factoring in New Jersey

New Jersey sits between two of the country's largest consumer markets and next to the busiest East Coast port. That geography produces a steady supply of business invoices worth factoring.

Factoring in New Jersey

The defining feature of New Jersey's economy is movement of goods. Choose New Jersey, the state's economic development organization, describes the Port of New York and New Jersey as the busiest port on the East Coast, points to five foreign trade zones, and says companies in the state can reach one-third of the U.S. population and one-third of its economy within a day's drive. Its list of major industries covers life sciences, technology, clean energy, film and media, advanced manufacturing, logistics, food and beverage, and financial services.

That logistics base creates layers of receivables. Drayage carriers pull containers from the terminals and invoice freight forwarders and importers. Third-party warehouses bill storage and handling to brands. Wholesale distributors sell to retailers and restaurants on terms while paying suppliers up front. Each of those businesses can sell approved invoices to a factor to close the gap; our page on distribution factoring covers the details.

Bureau of Labor Statistics data for September 2026 (preliminary) bear this out: trade, transportation and utilities is the state's largest supersector at about 886,000 jobs out of roughly 4,377,400 nonfarm jobs. Education and health services account for 832,500, professional and business services for 708,000, financial activities for 266,900, and manufacturing for 249,900. The professional services count includes temporary staffing, a frequent factoring user, while pharmaceutical and medical-device manufacturers support a long chain of packaging, lab-services and contract-manufacturing vendors that invoice large corporate buyers on extended terms.

UCC filings in New Jersey

New Jersey's filing office is the Division of Revenue and Enterprise Services (DORES) in the Department of the Treasury, not a Secretary of State. Its File UCC Financing Statements page carries a notice about the state's UCC eMandate, which steers filers to electronic submission, and describes an online service that includes the required and optional fields for UCC-1 and UCC-3 filings and returns a downloadable copy of each filed form. The linked UCC Online Services portal also lets users search the UCC database and download documents. The page says filing services are provided for a fee; check the DORES fee schedules for current amounts.

When you factor, the factor files a UCC-1 identifying your company as debtor and describing the accounts it is buying. Article 9 requires that filing for the factor's ownership of the invoices to beat later lien holders and a bankruptcy trustee, so expect it as a routine step.

Run your own search in the DORES database before you sign. A business may already carry filings from banks, equipment lessors or merchant cash advance providers. If any of them describe accounts or all assets, the factor will need a release or subordination before funding.

New Jersey law notes

Factoring is generally a purchase of receivables rather than a loan. New Jersey adopted UCC Article 9 in Title 12A of the New Jersey Statutes, and N.J.S.A. 12A:9-406 governs payment by the account debtor after notice of an assignment. Its subsection (d) makes a term in an agreement between an account debtor and the seller ineffective to the extent it prohibits, restricts or requires consent to the assignment of an account, so a customer's anti-assignment language generally does not prevent factoring.

New Jersey's criminal usury statute, N.J.S.A. 2C:21-19, treats a rate above 30% a year as unauthorized, but for loans to a corporation, limited liability company or limited liability partnership it allows rates up to 50%. That statute concerns loans and forbearances; whether a factoring agreement is a true sale or a loan depends on its terms, particularly recourse and how credit risk is allocated. For commercial financing disclosures, no state-specific disclosure statute was identified as of November 2026.

This is general information, not legal advice.

Major metro areas

Northern New Jersey, centered on Newark, Jersey City and the Meadowlands, holds the port terminals, the airport cargo complex and dense warehouse districts, plus finance and healthcare.

The New Jersey Turnpike corridor through Middlesex County is a major warehouse and distribution cluster serving both New York and Philadelphia.

Central New Jersey around New Brunswick and Princeton is home to pharmaceutical, research and technology firms.

South Jersey, including Camden and the Philadelphia suburbs, combines healthcare, food processing and manufacturing, while the shore counties add seasonal hospitality and construction.

Frequently asked questions

Who handles UCC filings in New Jersey?

The Division of Revenue and Enterprise Services, part of the state Treasury, handles them. Filings are submitted electronically through its UCC online service, which also lets you search the database by debtor and download copies of filed documents. This differs from most states, where the Secretary of State keeps UCC records, so search the DORES system specifically.

Is a factoring fee in New Jersey subject to the usury cap?

A true sale of receivables is generally not a loan, so usury limits usually do not apply to the discount. If a deal were treated as a loan, N.J.S.A. 2C:21-19 permits rates up to 50% a year for loans to corporations and LLCs before criminal usury applies. Read the agreement for recourse terms and for fees that add to your cost; see our guide to hidden factoring fees.

Can port drayage carriers in New Jersey use factoring?

Yes, and it fits their cash cycle. Drayage carriers often wait on importers and freight forwarders while paying drivers, fuel and chassis costs weekly. Factors evaluate the paying customer's credit, not just the carrier's, which helps small trucking companies that bill well-established shippers. Proof of delivery and terminal gate records are typically required with each invoice.
